1. Acceptance of Terms

By accessing or using any services provided by Better Gov LLC ("Company," "we," "us," or "our"), including the Fed Up Citizen platform and any related applications or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

We reserve the right to modify these Terms at any time. Changes become effective upon posting. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

2. Description of Services

Fed Up Citizen is a civic technology platform designed to facilitate communication between citizens and government entities. The Services may include:

  • Submission and tracking of civic reports (infrastructure issues, service requests, etc.)
  • Geolocation-based issue reporting
  • Photo and media upload capabilities
  • Status tracking and notifications
  • Aggregated civic data and analytics

The Services are provided to enhance civic engagement. We do not guarantee any particular outcome, response time, or resolution of reported issues by government entities.

3. Eligibility

You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts

To access certain features, you may need to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. User Conduct

You agree not to:

  • Submit false, misleading, or fraudulent reports
  • Harass, threaten, or defame any person or entity
  • Upload content that is unlawful, harmful, or infringes on others' rights
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services for any illegal purpose
  • Interfere with or disrupt the Services or servers
  • Use automated systems to access the Services without permission
  • Impersonate any person or entity

6. User-Generated Content

You retain ownership of content you submit ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such content in connection with operating and improving the Services.

You represent that you have all necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

We may share User Content with government entities and other third parties as necessary to fulfill the purpose of the Services. Aggregated or anonymized data derived from User Content may be used for analytics, research, and public interest purposes.

7. Intellectual Property

The Services, including all software, designs, text, graphics, and other content (excluding User Content), are owned by Better Gov LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

"Fed Up Citizen," "Better Gov," and associated logos are trademarks of Better Gov LLC.

8. Disclaimers

No Government Affiliation: Better Gov LLC is a private company. We are not affiliated with, endorsed by, or acting on behalf of any government entity. The Services are not an official government communication channel.

No Guarantee of Results: We do not guarantee that any report submitted through the Services will be reviewed, acknowledged, or acted upon by any government entity. Response times and outcomes are outside our control.

As-Is Basis: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETTER GOV LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Better Gov LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

11. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Vermont, without regard to conflict of law principles.

Informal Resolution: Before initiating formal proceedings, you agree to contact us to attempt informal resolution.

Arbitration: Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Vermont. You waive any right to participate in class actions or class arbitrations.

Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Services.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and dispute resolution.

13. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Better Gov LLC regarding the Services.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
